1. Acceptance of These Terms
These Terms & Conditions ("Terms") govern your access to and use of the website www.rklabelmachines.com (the "Website"), and — where expressly referred to in our quotations, proforma invoices and order confirmations — the sale of machinery, spare parts and related services by RK Label Printing Machinery Pvt. Ltd. ("RK Label Machines", "the Company", "we", "us" or "our").
By browsing the Website, submitting an enquiry, requesting a quotation, or placing an order with us, you confirm that you have read, understood and agreed to be bound by these Terms. If you do not accept these Terms, please do not use the Website or transact with us.
These Terms are intended for business and industrial buyers. By transacting with us you confirm that you are acting in the course of a business and are legally capable of entering into a binding contract.
2. About the Company
RK Label Printing Machinery Pvt. Ltd., trading as RK Label Machines, is a manufacturer and exporter of label printing, die-cutting, slitting, inspection and converting machinery. The Company was founded in 1995 and operates from three manufacturing and office units in Gujarat, India, supplying customers across more than 23 countries.

3. Definitions
- "Company", "we", "us" means RK Label Printing Machinery Pvt. Ltd.
- "Buyer", "Customer", "you" means the person or entity that submits an enquiry, accepts a quotation or places an order with the Company.
- "Goods" means the machinery, spare parts, accessories and related items supplied by the Company.
- "Services" means installation, commissioning, operator training, servicing, repair and technical support provided by the Company.
- "Quotation" means a written price offer issued by the Company for specified Goods or Services.
- "Order Confirmation" means the Company’s written acceptance of a Buyer’s purchase order.
4. Use of the Website
4.1 Permitted Use
You may browse the Website, download catalogues and technical literature we make publicly available, and contact us for genuine business enquiries relating to our machinery.
4.2 Prohibited Use
You must not:
- Copy, reproduce, republish or redistribute Website content, machine drawings, technical specifications or photographs for commercial purposes without our prior written permission
- Use the Website to transmit spam, malware, or any unlawful, misleading or abusive material
- Use automated tools, scrapers, bots or crawlers to extract data from the Website in a manner that places unreasonable load on our servers
- Attempt to gain unauthorised access to the Website, our servers, databases or any connected system
- Submit false, misleading or third-party contact information through our enquiry, quotation or feedback forms
- Reverse-engineer, replicate or manufacture machinery based on designs, drawings or specifications obtained from the Website or from us
We reserve the right to restrict or block access to the Website from any user, IP address or network that breaches these Terms.
5. Intellectual Property
All content on the Website — including the RK Label Machines name and logo, machine model names, product photographs, videos, illustrations, technical drawings, specifications, catalogues, page layouts, graphics and written text — is the property of RK Label Printing Machinery Pvt. Ltd. or is used by us under licence, and is protected by Indian and international intellectual property laws.
The design, engineering and know-how embodied in our machinery remain our exclusive intellectual property. Purchase of a machine grants you the right to use that machine; it does not transfer any design rights, manufacturing rights or licence to reproduce it.
Any third-party names, brands or component marks appearing on the Website (for example, those of bought-out drives, motors or control systems) remain the property of their respective owners and are referenced for identification purposes only.
6. Product Information, Specifications and Images
We work continuously to keep product information accurate and current. However:
- Specifications, speeds, print widths, colour stations and outputs published on the Website are indicative and represent maximum or typical performance under standard test conditions. Actual output depends on substrate, ink system, artwork, ambient conditions and operator skill.
- Machine photographs and videos are representative and may show optional attachments, accessories or configurations that are not part of the standard supply.
- We reserve the right to improve, modify or discontinue any model, component or specification without prior notice, as part of our ongoing product development.
The binding specification for any transaction is the one set out in our written Quotation, technical offer and Order Confirmation — not the Website.
7. Enquiries and Quotations
Submitting an enquiry through the Website, WhatsApp, email or telephone does not create a contract. It is an invitation for us to prepare a proposal.
- Quotations are valid for the period stated on the Quotation. Where no period is stated, a Quotation is valid for 30 days from its date.
- Quotations are subject to change on account of raw material price movement, currency fluctuation, statutory levies or changes to your specification.
- Unless expressly stated otherwise, prices are Ex-Works our factory and exclude GST, other applicable taxes and duties, packing, freight, insurance, loading, unloading, and installation charges.
- A Quotation is not an offer capable of acceptance until confirmed by us in writing through an Order Confirmation or proforma invoice.
8. Orders, Prices and Payment
8.1 Order Confirmation
A binding contract comes into existence only when we issue a written Order Confirmation or proforma invoice against your purchase order, and the agreed advance payment is received.
8.2 Payment Terms
Standard payment terms are an advance on order placement and the balance before dispatch, as specified in the applicable proforma invoice. Export orders may be executed against an irrevocable Letter of Credit or advance telegraphic transfer, as agreed in writing.
All bank charges, remittance charges and currency conversion costs outside India are to the Buyer’s account. Payments must be made in full without set-off, deduction or withholding, unless required by law.
8.3 Delayed Payment
Where payment is delayed beyond the agreed date, we reserve the right to charge interest at the rate specified in the invoice, to suspend manufacturing or dispatch, and to withhold service support until the account is regularised.
8.4 Retention of Title
Title in the Goods passes to the Buyer only upon receipt of payment in full. Risk in the Goods passes to the Buyer upon dispatch from our factory or as per the agreed Incoterm, whichever is earlier. Until title passes, the Buyer holds the Goods as bailee and must keep them insured and identifiable.
9. Delivery, Installation and Commissioning
- Delivery periods quoted are estimates given in good faith and run from the date of the Order Confirmation together with receipt of advance payment and all technical approvals from the Buyer.
- Time is not of the essence unless expressly agreed in writing. Delays caused by pending drawing approvals, specification changes, payment delays or force majeure will extend the delivery schedule accordingly.
- Unless included in the Quotation, installation, commissioning and operator training are chargeable separately. For overseas installations, travel, visa, boarding, lodging and local transport of our engineers are to the Buyer’s account.
- The Buyer is responsible for site readiness — including floor space and levelling, foundation, stable three-phase power supply of the correct voltage and frequency, earthing, compressed air, exhaust or ventilation, lifting arrangements and unloading — before our engineers arrive. Idle time caused by site unreadiness is chargeable.
10. Inspection and Acceptance
Pre-dispatch inspection at our factory is welcome and may be arranged on written request. The Buyer must inspect the Goods immediately on receipt and notify us in writing within 7 days of delivery of any shortage, transit damage or visible defect, supported by photographs and, where relevant, the carrier’s remarks.
Claims for transit damage must additionally be raised with the carrier and insurer within their prescribed timelines. Goods not rejected within this period are deemed accepted.
11. Warranty
We warrant that our machines are free from defects in material and workmanship under normal use and correct operation for a period of 12 months from the date of dispatch, unless a different period is stated in the Quotation or Order Confirmation.
During the warranty period we will, at our option, repair or replace defective parts free of cost, ex-works our factory. Freight, travel, insurance and installation costs related to warranty replacement are to the Buyer’s account unless otherwise agreed.
11.1 Warranty Exclusions
The warranty does not cover:
- Consumables and normal wear-and-tear items such as anilox rollers, doctor blades, cutting dies, blades, belts, bearings, seals, UV lamps, filters, rubber rollers and printing plates
- Damage caused by incorrect installation by third parties, improper operation, operator error, or use outside the machine’s rated specification
- Damage caused by unstable or incorrect power supply, voltage fluctuation, poor earthing, lightning, water ingress, dust, corrosive atmosphere or unsuitable ambient conditions
- Use of non-approved spare parts, inks, solvents, adhesives or substrates
- Any unauthorised repair, alteration, retrofitting or modification of the machine or its control system
- Bought-out components such as motors, drives, servo systems, PLCs and sensors, which carry the warranty of their original manufacturer and are passed on to the Buyer on a back-to-back basis
- Neglect of routine maintenance, lubrication and cleaning as set out in the operating manual
The warranty is void where the machine has been resold, relocated or dismantled without our prior written knowledge, or where payment for the machine remains outstanding.
12. After-Sales Service and Spare Parts
We provide after-sales technical support by telephone, email, WhatsApp and remote assistance, and on-site service visits on a chargeable basis after the warranty period. We endeavour to maintain the availability of critical spare parts for our machine models, subject to component availability from our own suppliers.
Service response times depend on engineer availability, location, visa requirements and travel conditions, and are provided as best-effort estimates rather than guaranteed timelines.
13. Export, Customs and Regulatory Compliance
- Export sales are governed by the Incoterm agreed in the Quotation or proforma invoice. Unless otherwise stated, supply is Ex-Works or FOB Indian port.
- All import duties, customs clearance charges, port charges, local taxes, licences and statutory approvals in the country of destination are the Buyer’s responsibility and are not included in our prices.
- The Buyer is responsible for informing us in writing of the correct voltage, frequency, phase and plug or safety standards applicable at the destination before manufacturing begins. Changes requested after production has commenced may attract additional charges and delay.
- The Buyer confirms that the Goods will not be re-exported, diverted or used in breach of any applicable export control, trade sanction or embargo law.
- The Buyer is responsible for compliance with local safety, electrical, machinery and workplace regulations in the country where the machine is installed and operated.
14. Cancellation, Changes and Refunds
Our machines are engineered and built to order. Accordingly:
- Orders may be cancelled without charge only before manufacturing or material procurement has commenced.
- Once production has started, cancellation will attract charges covering material procured, work completed, bought-out components ordered and overheads incurred, as reasonably assessed by us.
- Advance payments made against custom-built machinery are non-refundable once manufacturing has commenced, and may be adjusted against cancellation charges.
- Changes to specification after Order Confirmation are subject to our written acceptance and may affect price and delivery schedule.
- We do not accept the return of machinery on grounds of change of mind, subsequent change in business plan, or failure to obtain finance.
15. RK Label Calculator and Online Tools
The RK Label Calculator and any other tools provided on the Website are offered as a free convenience for approximate estimation only. Results are indicative and depend entirely on the values you enter.
We do not warrant the accuracy, completeness or suitability of any calculated output, and we accept no liability for material wastage, production loss, quotation errors or commercial decisions taken in reliance on these tools. Always verify results against your own production data and, where necessary, consult our engineers.
16. Confidentiality
Where either party shares confidential information — including drawings, artwork, production data, pricing or technical know-how — the receiving party will keep it confidential, use it only for the purpose for which it was shared, and not disclose it to third parties without written consent.
Please do not send proprietary drawings or trade-secret material through public web forms. Contact us first and we will arrange a secure method of exchange, and where appropriate, a non-disclosure agreement.
17. Feedback and User Submissions
If you submit feedback, testimonials, suggestions, photographs or videos to us through the Website or otherwise, you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce and display that content for marketing and product improvement purposes, with attribution where appropriate.
You confirm that any content you submit is your own, is accurate, and does not infringe the rights of any third party. We may edit for length or clarity, and may decline to publish any submission.
18. Force Majeure
We shall not be liable for any delay or failure in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, earthquake, epidemic or pandemic, war, civil unrest, terrorism, strikes or labour disputes, power failure, breakdown of plant, shortage or delay in supply of raw materials or bought-out components, transport or port disruption, cyber-attack, and changes in law, government policy, import or export restrictions.
If a force majeure event continues for more than 90 days, either party may terminate the affected order by written notice, and the Buyer shall pay for work completed and materials procured up to that date.
19. Limitation of Liability
To the maximum extent permitted by law:
- Our total aggregate liability arising out of or in connection with any order, whether in contract, tort, negligence or otherwise, shall not exceed the invoice value of the specific Goods or Services giving rise to the claim.
- We shall not be liable for indirect, incidental, special or consequential loss, including loss of profit, loss of production, loss of orders, loss of data, cost of substitute machinery, downtime, wasted substrate or reputational loss.
- We shall not be liable for any loss arising from operation of the machine by untrained personnel, removal or bypassing of guards and safety devices, or non-compliance with the operating manual.
- The Website is provided on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, error-free, or free from viruses, and we are not liable for loss arising from your use of, or inability to use, the Website.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by our negligence, or for fraud.
20. Indemnity
You agree to indemnify and hold harmless RK Label Printing Machinery Pvt. Ltd., its directors, employees and agents against any claim, loss, damage, penalty or expense arising from your breach of these Terms, your misuse of the Website, your unsafe or non-compliant operation of the machinery, or your breach of any applicable law or third-party right.
21. Third-Party Links and Platforms
The Website contains links to third-party platforms including Facebook, Instagram, LinkedIn, YouTube, X (Twitter), Pinterest, WhatsApp and Google Maps. These links are provided for convenience only. We do not control and are not responsible for the content, availability, products or practices of any third-party site, and inclusion of a link does not imply endorsement.
22. Privacy
Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms and is available on the Website. By using the Website or transacting with us, you agree to the handling of your information as set out in that policy.
23. Governing Law and Dispute Resolution
These Terms, and any contract formed under them, are governed by and construed in accordance with the laws of India.
The parties shall first attempt to resolve any dispute amicably through good-faith discussion. If unresolved within 30 days, the dispute shall be referred to arbitration by a sole arbitrator appointed by the Company in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Ahmedabad, Gujarat, India, and the language of arbitration shall be English.
Subject to the above, the courts at Ahmedabad, Gujarat, India shall have exclusive jurisdiction.
24. General Provisions
- Order of precedence. In the event of conflict, the order of precedence is: signed contract, Order Confirmation, proforma invoice, Quotation, then these Terms. These Terms prevail over any conflicting terms in the Buyer’s purchase order unless we have accepted those terms in writing.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver. Failure or delay by us in enforcing any provision shall not constitute a waiver of that or any other provision.
- Assignment. The Buyer may not assign or transfer its rights or obligations without our prior written consent.
- Amendments. We may update these Terms from time to time. The version published on the Website at the time of your order applies to that order. Continued use of the Website after changes constitutes acceptance.
- No partnership. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between the parties.
